Unitymedia has a management board comprising four members, Chief Executive Officer, Chief Commercial Officer, Chief Financial Officer and Chief Operating Officer. Unitymedia has a strong set of internal controls and Corporate Governance framework for making all strategic and operational decisions, including clear delegation of authority for incurring expense, contractual liability and employment. The company’s operating mechanisms include annual budgeting and reforecasting processes, longrange strategic and financial planning, multi-day monthly financial and operations reviews as well as quarterly reviews of the financial statements in addition to statutory and consolidated audits. The company also works closely together with its various works councils (Betriebsräte) and their Economic Committees (Wirtschaftausschüsse).

Unitymedia is wholly owned by Unitymedia SCA (Luxembourg), which through its general partner and manager, Unitymedia SA (Luxembourg) has 9 Board Directors and effectively provides the function of a traditional Supervisory Board in Germany. The Board of Directors has set clear management guidelines and authority levels for Unitymedia and meets regularly with Unitymedia management to discuss strategic, ope rational and Corporate Governance matters. The members of the Board of Directors elect the Chairman of the Board of Directors as well as 2 Compensation Committee and 3 Audit Committee members, which meet separately on a regular basis and report back to the Board of Directors. Resolutions of the Board of Directors generally require a simple majority of the votes cast. The Board of Directors is representative of the ownership structure of Unitymedia SCA, including 6 members from BC Partners and Apollo, who own 35.3% and 29.1% respectively of the equity interest in Unitymedia SCA.
